Experienced personnel will be present at the shareholder meeting to canvass the votes cast in person and to certify the final results.  All required documentation is provided including the inspector's oath, master ballot, shareholder ballots, and the final report. It is our goal to provide immediate certification once the shareholder meeting concludes.

Proxy Contests

 

Our team has provided independent Inspectors of Election for hundreds of contested shareholder meetings. We will make the process of providing vote results and vote challenges as smooth as possible. We are impartial, accurate and our results are beyond reproach.

Printing​
 

We manage the process of printing outer and return envelopes through our strategic partnerships.  Each proxy card is imprinted with shareholder data including name, address and confidential control number. Proxy card printing is done in house to maintain the confidentiality of the data.

Proxy Card Design

 

Our design team will create a proxy card proof to meet your specifications. The proxy will be presented for your approval and if changes are necessary they will be done immediately and a new proof provided. This is especially important in a proxy contest when the proxy card is revised many times and must be done quickly. Our services are 24/7, designs can be changed at any time of day or night.

Mailing​

 

We will facilitate the mailing of your proxy materials to your shareholders. You will be provided with multiple mailing scenarios depending on your unique situation. If you are involved in a proxy contest we can provide for multiple mailings as well as stratified mailings.

Electronic Voting​

 

Our telephone and internet sites were designed by us using our more than two decades of experience in the industry. Our electronic platform represents the next logical step in the development of electronic processing. We can have our system setup very quickly, usually within an hour or two. In addition, our system has the ability to capture electronic signatures and dates for consent solicitations. It combines both telephonic and internet voting into a single tabulation report.  We also incorporate the voting by proxy cards returned by registered shareholders to produce a single, comprehensive voting summary. A certification of the electronic voting process is provided to the Inspector of Election to ensure the validity of the votes.

Tabulations

 

Tabulation reports are provided on any schedule you request. Reports are provided as often as requested without any additional cost. The reports are generated by processing the mail received each day. The proxies are examined for validity and if necessary are returned to the shareholder for "curing". The proxies are voted and combined with the electronic votes to provide a comprehensive voting summary that is provided to the Company and their proxy solicitor. We will also process beneficial votes received from Broadridge.

Web Hosting​

 

We can host your meeting documents including your proxy statement and annual report. If your Company is involved in a proxy contest we can also host  fight letters and other important documents relevant to the proxy contest.
